By registering, accessing, or using Autobro, you agree to be legally bound by these Terms. If you do not agree with these Terms, you must discontinue use of the Services immediately.

2About Autobro

Autobro is a dealer management and inventory management platform operated by Zooperklook LLP for automobile dealers and automotive businesses.

The platform may provide features including:

• Vehicle inventory management
• Vehicle stock tracking and ageing reports
• Purchase and sales management
• Profit and loss calculations
• Business analytics and reporting
• Vehicle image and document storage
• Customer and lead management
• Subscription-based business tools and services

Zooperklook LLP reserves the right to modify, add, or discontinue features at any time.

3User Eligibility

By using Autobro, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal authority to enter into binding agreements.
• All information provided during registration is accurate and complete.
• You will maintain and update your information as necessary.

4User Responsibilities

You agree to:

• Provide accurate inventory, financial, and dealership information.
• Maintain the confidentiality of your login credentials.
• Restrict unauthorized access to your account.
• Use the platform only for lawful business purposes.
• Comply with all applicable laws and regulations.

You agree not to:

• Manipulate, falsify, or misrepresent vehicle or financial data.
• Upload malicious software or harmful content.
• Attempt unauthorized access to the platform or other user accounts.
• Reverse engineer, copy, or exploit the platform without authorization.
• Use the Services in a manner that violates applicable laws.

You are solely responsible for all activities conducted under your account.

5Subscription, Billing, and Payments

Certain features of Autobro may require a paid subscription.

By purchasing a subscription, you agree that:

• Payments will be processed through authorized payment providers, including Razorpay and other payment gateways.
• You are responsible for maintaining valid payment information.
• Subscription fees are charged according to the selected plan.
• Failure to pay subscription fees may result in suspension or termination of Services.
• Unless otherwise stated in writing, subscription fees are non-refundable.

Taxes, government levies, and payment processing charges may be applicable where required by law.

6Data Ownership and User Content

Users retain ownership of the information, documents, vehicle records, images, and content uploaded to Autobro.

By uploading content, you grant Zooperklook LLP a limited license to store, process, display, and use such content solely for the purpose of providing Services.

Users are solely responsible for ensuring they possess the necessary rights, permissions, and authorizations for all uploaded content.

7Vehicle Data and Third-Party API Disclaimer

Autobro may retrieve vehicle-related information and business data from third-party APIs, government databases, automotive service providers, and external data sources.

While Zooperklook LLP endeavors to provide accurate information, we do not control or guarantee the accuracy, completeness, availability, or reliability of third-party data.

Zooperklook LLP shall not be liable for:

• Incorrect vehicle information
• Data mismatches
• Delayed updates
• API outages
• Third-party server failures
• Missing or inaccurate external data

Users are responsible for independently verifying critical information before making business decisions.

8Reports, Analytics, and Business Decisions

The analytics, reports, forecasts, profit calculations, ageing reports, and dashboard insights provided by Autobro are generated based on information entered by users and available data sources.

Such reports are provided for informational and operational purposes only and do not constitute:

• Financial advice
• Accounting advice
• Tax advice
• Legal advice
• Investment advice

Users are solely responsible for decisions made based on information available through the platform.

9Intellectual Property Rights

Autobro, including its software, dashboards, branding, logos, designs, source code, databases, analytics systems, documentation, and related materials, is the exclusive property of Zooperklook LLP and its licensors.

Users may not:

• Copy
• Modify
• Distribute
• Resell
• Reverse engineer
• Create derivative works

without prior written consent from Zooperklook LLP.

10Acceptable Content Policy

Users shall not upload, transmit, or store content that:

• Violates any law or regulation
• Infringes intellectual property rights
• Contains harmful software or malicious code
• Is fraudulent, deceptive, or misleading
• Is defamatory, abusive, or unlawful

Zooperklook LLP reserves the right to remove content that violates these Terms.

11WhatsApp and Communication Services

Where Autobro integrates with WhatsApp Business Platform, Meta services, SMS providers, or communication tools:

• Users are responsible for obtaining all necessary customer consents before sending communications.
• Users must comply with Meta, WhatsApp, and applicable communication regulations.
• Zooperklook LLP is not responsible for message delivery failures, template rejections, account restrictions, or actions taken by third-party communication providers.

Violation of communication policies may result in suspension of messaging features.

12Service Availability

Zooperklook LLP aims to provide reliable and uninterrupted Services.

However, we do not guarantee continuous availability and may experience interruptions due to:

• Scheduled maintenance
• System upgrades
• Internet outages
• Third-party provider failures
• Force majeure events

Temporary service interruptions shall not constitute a breach of these Terms.

13Limitation of Liability

To the maximum extent permitted by law, Zooperklook LLP shall not be liable for:

• Loss of profits
• Business interruption
• Revenue loss
• Loss of goodwill
• Data loss caused by user actions
• Decisions made based on platform analytics
• Third-party service failures
• Indirect, incidental, special, or consequential damages

The total liability of Zooperklook LLP shall not exceed the amount paid by the user to Zooperklook LLP during the twelve (12) months preceding the claim.

14Suspension and Termination

Zooperklook LLP may suspend or terminate accounts without prior notice if:

• Fraudulent activity is detected
• False information is provided
• Subscription fees remain unpaid
• These Terms are violated
• Platform security is compromised

Upon termination, access to Services may be immediately revoked.

15Indemnification

You agree to indemnify and hold harmless Zooperklook LLP, its designated partners, employees, affiliates, partners, and service providers from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Services
• Violation of these Terms
• Violation of applicable laws
• Infringement of third-party rights

16Privacy

Your use of Autobro is also governed by our Privacy Policy, which forms an integral part of these Terms.

17Changes to Terms

Zooperklook LLP reserves the right to modify these Terms at any time.

Updated Terms will be posted on our website and platform. Continued use of the Services after such modifications constitutes acceptance of the revised Terms.

18Governing Law

These Terms shall be governed and construed in accordance with the laws of India, including applicable Information Technology, data protection, and electronic commerce laws.

19Jurisdiction

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in SAS Nagar (Mohali), Punjab, India.
