Dealer User Agreement

EFFECTIVE 29 MAY 2026

This Dealer User Agreement (“Agreement”) governs the access to and use of the Autobro platform, operated by Zooperklook LLP (“Zooperklook LLP”, “we”, “our”, or “us”), by registered dealers, dealerships, automotive businesses, and authorized users (“Dealer”, “User”, “you”).

1Agreement

By creating an account, subscribing to a plan, or using the Autobro platform, you agree to be bound by this Agreement, the Privacy Policy, and the Terms and Conditions published by Zooperklook LLP.

2Purpose and Scope

Autobro is a cloud-based dealer management platform provided by Zooperklook LLP to assist automotive businesses with:

  • Vehicle inventory management
  • Stock ageing and lifecycle tracking
  • Purchase and sales record management
  • Profit and loss analysis
  • Business reporting and analytics
  • Vehicle image and document storage
  • Customer and lead management
  • Communication and operational tools

Access to features may vary based on the subscription plan selected by the Dealer.

3Dealer Responsibilities

As a Dealer, you agree to:

  • Provide accurate and up-to-date business information.
  • Maintain accurate inventory, vehicle, and financial records.
  • Use the platform only for lawful business purposes.
  • Protect account credentials and prevent unauthorized access.
  • Ensure all uploaded documents, images, and content are legally owned or authorized for use.
  • Comply with applicable laws and industry regulations.

You agree not to:

  • Submit false or misleading information.
  • Manipulate vehicle, sales, or financial data.
  • Attempt unauthorized access to the platform.
  • Use the platform for fraudulent, illegal, or harmful activities.
  • Interfere with the security or operation of the Services.

4Subscription and Payment

Certain Autobro features may require an active paid subscription.

By subscribing to a paid plan, you agree that:

  • Subscription fees shall be paid according to the selected plan.
  • Payments may be processed through authorized payment providers, including Razorpay and other approved gateways.
  • Failure to pay applicable fees may result in suspension or restriction of Services.
  • Subscription fees are non-refundable unless otherwise stated in writing.

Zooperklook LLP reserves the right to modify pricing, plans, or features with reasonable notice.

5Data Ownership and Usage

Dealers retain ownership of the inventory data, business records, documents, images, and content uploaded to the platform.

By using Autobro, you grant Zooperklook LLP a limited right to process, store, display, and use such information solely for providing and improving the Services.

Zooperklook LLP does not sell Dealer data to third parties.

6Third-Party Data and API Services

Autobro may integrate with external APIs, automotive databases, communication services, payment gateways, and other third-party providers.

While reasonable efforts are made to ensure service reliability, Zooperklook LLP does not guarantee the accuracy, completeness, or availability of information provided by third-party systems and shall not be liable for any resulting inaccuracies, delays, or service interruptions.

7Suspension and Termination

Zooperklook LLP reserves the right to suspend, restrict, or terminate access to the platform if:

  • This Agreement is violated.
  • Fraudulent activity is detected.
  • False information is provided.
  • Subscription payments remain outstanding.
  • Platform security or integrity is compromised.

Upon termination, access to certain data and services may be restricted in accordance with applicable policies and legal requirements.

8Limitation of Liability

Zooperklook LLP provides tools, reports, and analytics based on data supplied by users and integrated systems.

Dealers acknowledge that:

  • Business decisions remain their sole responsibility.
  • Zooperklook LLP does not provide financial, legal, tax, or investment advice.
  • Zooperklook LLP shall not be liable for losses arising from inaccurate user-entered information, third-party data errors, or business decisions made using platform reports.

9Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in SAS Nagar (Mohali), Punjab, India.
